Terms of Use — Digit99

1. Acceptance of Terms

By accessing or using Digit99 ("the Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use the Platform. These terms apply to all visitors, users, buyers, and sellers.

2. Account Registration

To access certain features (selling products, making purchases), you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

3. Seller Obligations

As a seller on Digit99, you represent and warrant that:

You own or have the right to sell all products you list on the Platform
Your products do not infringe on any third-party intellectual property rights
Product descriptions are accurate and not misleading
You comply with all applicable laws and regulations in your jurisdiction
You are solely responsible for the quality and accuracy of your digital products

4. Buyer Obligations

As a buyer, you agree that:

Digital products are licensed for personal or commercial use as specified by the seller
You will not redistribute, resell, or share purchased products unless explicitly permitted
All sales are final per our Refund Policy, except in cases of technical failure

5. Commission and Payments

Digit99 charges a tiered commission on each sale (10% for new sellers, dropping to 8% at $1,000 cumulative sales, and 6% at $10,000). All payments are processed securely through Stripe. Commission rates are subject to change with 30 days' notice to sellers.

6. Intellectual Property

The Digit99 name, logo, and platform design are proprietary. Sellers retain full ownership of the digital products they list. By listing a product, sellers grant Digit99 a non-exclusive license to display, promote, and distribute the product within the marketplace.

7. Prohibited Content

The following content is prohibited on Digit99:

Products that infringe copyrights, trademarks, or other intellectual property rights
Malicious software, viruses, or harmful code
Content that is defamatory, obscene, or promotes illegal activities
Products misrepresenting their origin, functionality, or content

8. Platform Disclaimers

Digit99 is a marketplace platform. We do not create, endorse, or guarantee the quality of seller products. We provide the infrastructure for transactions but are not a party to the sale between buyers and sellers. The Platform is provided "as is" without warranties of any kind.

9. Account Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or harm the Platform community. Sellers will receive their outstanding earnings for legitimate sales prior to termination.

10. Limitation of Liability

To the maximum extent permitted by law, Digit99 shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with applicable rules. You agree to resolve disputes on an individual basis and waive any right to a class action.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use after changes constitutes acceptance of the updated terms.
